TERMS & CONDITIONS OF SERVICE

1. PREAMBLE & BINDING AGREEMENT

These Terms and Conditions ("Terms") govern all commercial drone operations, roof inspections, construction site monitoring, aerial photography, and data services provided by Precision Drone Services (ABN: 68 558 130 744), hereinafter referred to as the "Operator", to the individual, business, or corporate entity engaging these services, hereinafter referred to as the "Client". By approving a quote, booking a service, or issuing a work order, the Client explicitly agrees to be legally bound by these Terms without modification.

2. PAYMENT TERMS & DELIVERABLE LOCKS 2.1 Due on Receipt: All invoices issued by the Operator are strictly due and payable immediately upon receipt. 2.2 Withholding of Deliverables: High-resolution raw footage, final edited media, structural roof inspection reports, 2D orthomosaic models, and all other digital assets remain the exclusive legal property of the Operator and will be completely withheld from release until the corresponding invoice is paid in full and funds clear the Operator's account. 2.3 Late Payments: The Operator reserves the right to suspend all ongoing work, revoke temporary usage licenses, and charge interest at a rate of 10% per annum on all overdue balances, calculated daily from the date of invoice issue.

3. SAFETY, CASA REGULATIONS & PILOT AUTHORITY 3.1 CASA Compliance: All operations are strictly conducted in accordance with Civil Aviation Safety Authority (CASA) regulations under Civil Aviation Safety Regulations (CASR) Part 101. 3.2 Absolute Veto Authority: The designated Pilot in Command (PIC) retains absolute, undisputed authority over the setup, flight path, operation, and grounding of the aircraft. The PIC may veto or abort any flight at any second if they deem conditions unsafe, without incurring financial penalty or breach of contract. 3.3 Exclusion Zones: Operations will not be conducted over unprotected personnel, active traffic lanes, or outside strict regulatory frameworks unless explicit CASA permissions or exclusions are active.

4. WEATHER, AIRSPACE & FORCE MAJEURE DELAYS 4.1 Weather Realities: Melbourne weather is inherently unpredictable. If rain, high winds (>35 km/h), poor visibility, or extreme heat prevent safe flight, the Operator reserves the right to postpone operations. 4.2 Rescheduling Window: In the event of adverse weather or localized airspace restrictions (e.g., controlled zones near Melbourne Airport, Essendon, or Moorabbin), the Operator will coordinate with the Client to reschedule within a reasonable timeframe at no additional charge to the Client. 4.3 Client-Caused Delays: If a flight is delayed or aborted on-site due to Client omissions, unnotified site obstructions, or failure to secure access, the Client will be billed a standard standby/call-out variation fee.

5. CONSTRUCTION SITE & ROOF INSPECTION SPECIFICS 5.1 Site Inductions: The Client must notify the Operator of any mandatory site inductions, White Card requirements, or specific Personal Protective Equipment (PPE) mandates prior to arrival. 5.2 Personnel Notification: For construction sites, the Client bears sole responsibility for notifying all on-site builders, contractors, and personnel that drone operations will take place. 5.3 Scope of Inspection Data: Roof asset inspections and structural mapping deliverables constitute raw or compiled visual data only. The Operator is an aerial data capture specialist and does not provide formal civil, structural, or building engineering sign-offs. The digital assets are analytical tools and should be reviewed by qualified trade professionals.

6. SITE ACCESS, LANDOWNER APPROVALS & PRIVACY 6.1 Lawful Access: The Client guarantees that they have secured all necessary permissions, access rights, and lawful authorities from landowners, asset managers, or local councils to allow the Operator to launch, operate, and land the aircraft safely on the designated location. 6.2 Indemnity against Trespass: The Client indemnifies the Operator against any civil claims, complaints, or legal actions relating to trespass, privacy breaches, or unauthorized data capture arising from flights executed within the requested project boundaries.

7. PUBLIC LIABILITY INSURANCE & INDEMNITY 7.1 $20,000,000 Premium Coverage: The Operator maintains a comprehensive Public Liability Insurance policy with a limit of twenty million Australian Dollars ($20,000,000 AUD) specifically tailored for commercial drone operations on active construction environments and asset inspections. 7.2 Limitation of Liability: To the maximum extent permitted by Australian Consumer Law, the Operator's total liability for any claim, loss, or damage directly resulting from the performance or non-performance of services shall be strictly capped at the total amount paid by the Client under the relevant work order.

8. INTELLECTUAL PROPERTY & USAGE LICENSE 8.1 Copyright Ownership: The Operator retains full copyright and intellectual property rights of all raw imagery, metadata, data sets, and processed media captured during operations. 8.2 Grant of License: Conditional upon full payment of all invoices, the Operator grants the Client a non-exclusive, perpetual, royalty-free license to use the final deliverables for their internal business operations, marketing, or reporting. This license cannot be transferred or sold to third parties without prior written consent.
